1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Viorai Technology Limited ("Company," "we," "us," or "our") governing your access to and use of the Cocomate mobile application (the "App"). By downloading, installing, or using Cocomate, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.
2. Eligibility
2.1 Age Requirement
You must be at least 13 years of age to use Cocomate. By using the App, you represent and warrant that you are at least 13 years old. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Description of Service
Cocomate is an AI-powered productivity and wellness companion app that provides:
- AI Chat Assistant: Conversational AI companion for productivity and emotional support
- Digital Pet: Customizable virtual pet that grows with your engagement
- Calendar Management: Integration with Google Calendar for event syncing and planning
- Mood Check-ins: Daily mood tracking and emotional wellness features
- Task Planning: AI-assisted planning tools including "Today's Plan" and "Smallest Next Step"
- Push Notifications: Reminders and updates for your events and activities
4. User Accounts
4.1 Account Creation
To use certain features of the App, you must create an account using:
- Apple Sign-In
- Google Sign-In
- Email registration
You agree to provide accurate, current, and complete information during registration.
4.2 Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We are not liable for any loss or damage arising from your failure to maintain account security.
4.3 Account Termination
You may delete your account at any time through the App settings. Upon deletion:
- Your personal data will be removed within 30 days
- Some data may be retained in encrypted backups for up to 90 days
- Data required for legal obligations may be retained as required by law
We reserve the right to suspend or terminate your account if you violate these Terms.
5. User Content
5.1 Your Content
"User Content" includes any content you submit, upload, or transmit through the App, including:
- Chat messages and conversations
- Calendar events and notes
- Photos (avatars, pet photos)
- Mood check-in responses
- Feedback submissions
5.2 Ownership and License
You retain ownership of your User Content. By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the App's services. This license does not extend to any other commercial use of your content.
5.3 Pet Photo Ownership and Rights
By uploading pet photos or animal images, you represent and warrant that:
- You are the owner of the pet depicted, or you have obtained explicit permission from the pet's owner to use the image
- You have the right to upload the image — the photo was taken by you, or you have permission from the photographer
- The image does not infringe on any third party's intellectual property rights, including but not limited to the likeness rights of commercially recognized animal personalities, brand mascots, or internet-famous pets with established commercial identities
You acknowledge that Cocomate does not verify the ownership of uploaded pet images. You accept full responsibility for ensuring that your uploads comply with this section.
5.4 Intellectual Property Infringement and Takedown
If you believe that your pet's likeness, intellectual property, or any content has been uploaded to Cocomate without your authorization:
- Submit a notice to friend@viorai.ai with the subject line "IP Takedown Request," including:
- A description of the content you believe infringes your rights
- Evidence of your ownership or authorization (e.g., proof of pet ownership, registered IP documentation)
- Your contact information
- We will investigate the report and, if appropriate, remove the infringing content within a reasonable timeframe
- We may suspend or terminate the account of users who repeatedly upload infringing content
Cocomate acts as a platform and is not liable for User Content that infringes third-party rights, provided we respond to valid takedown requests in a timely manner.
5.5 Content Guidelines
You agree not to submit content that:
- Is illegal, harmful, threatening, abusive, or harassing
- Infringes on intellectual property rights of others
- Contains malware, viruses, or harmful code
- Violates the privacy of others
- Is fraudulent or deceptive
- Promotes illegal activities
5.6 AI-Generated Content
The App uses artificial intelligence to generate responses, suggestions, and images. You acknowledge that:
- AI-generated content may not always be accurate or appropriate
- AI responses are not professional advice (medical, legal, financial, or otherwise)
- You are responsible for how you use AI-generated content
5.7 AI-Generated Pet Images
AI-generated images based on your pet photos (e.g., stylized portraits, digital pet avatars) are provided for personal, non-commercial use within the App. You agree that:
- You will not use AI-generated pet images for commercial purposes (e.g., merchandise, resale, advertising) without separate written permission from Cocomate
- Cocomate does not claim ownership of AI-generated outputs created from your photos
- AI-generated images may bear resemblance to other animals; Cocomate is not responsible for any unintentional similarities
6. AI Services and Limitations
6.1 Nature of AI Services
Cocomate uses third-party AI services (OpenRouter, Wavespeed AI) to power its features. You understand that:
- AI responses are generated algorithmically and may contain errors
- AI cannot replace professional advice or services
- AI interactions are not confidential therapy or counseling sessions
6.2 No Professional Advice
The App does not provide:
- Medical or mental health diagnosis or treatment
- Legal advice
- Financial advice
- Emergency services
If you are experiencing a mental health crisis, please contact emergency services or a crisis helpline immediately.
6.3 AI Memory and Personalization
The App may store AI-extracted memories and preferences to personalize your experience. You can manage or delete this data through the App settings.
7. Third-Party Services
7.1 Integrated Services
The App integrates with third-party services including:
- Google Sign-In and Google Calendar API
- Apple Sign-In
- OpenRouter
- Wavespeed AI
- Amazon Web Services (S3, SES)
- Expo Push Notifications
7.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of your data.
7.3 Calendar Sync
If you enable Google Calendar integration:
- You authorize us to access, read, and write calendar events on your behalf
- You can revoke this access at any time through Google Account settings
- Calendar data is used solely to provide sync functionality
8. Intellectual Property
8.1 Our Intellectual Property
The App, including its design, features, content, and technology, is owned by Viorai Technology Limited and protected by intellectual property laws. You may not:
- Copy, modify, or distribute the App
- Reverse engineer or decompile the App
- Use our trademarks without permission
- Create derivative works based on the App
8.2 Feedback
If you provide feedback, suggestions, or ideas about the App, you grant us the right to use such feedback without compensation or attribution.
9. Prohibited Uses
You agree not to:
- Violate Laws: Use the App for any illegal purpose or in violation of any laws
- Harm Others: Harass, abuse, or harm other users or individuals
- Interfere with Service: Attempt to disrupt, overload, or impair the App's functionality
- Unauthorized Access: Attempt to gain unauthorized access to our systems or other users' accounts
- Scraping: Use automated tools to scrape, collect, or harvest data from the App
- Circumvent Security: Bypass or attempt to bypass security measures
- Impersonation: Impersonate any person or entity
- Spam: Send unsolicited communications through the App
- Malicious Content: Upload viruses, malware, or harmful content
- Commercial Use: Use the App for unauthorized commercial purposes
10. Subscription and Payments
10.1 Free and Premium Features
Cocomate may offer both free and premium subscription features. Premium features require a paid subscription.
10.2 Payment Terms
If you subscribe to premium features:
- Payment is processed through Apple App Store
- Subscriptions auto-renew unless cancelled
- You can manage subscriptions through your Apple ID settings
- Refunds are subject to Apple's refund policies
10.3 Price Changes
We reserve the right to change subscription prices. You will be notified of price changes before your next billing cycle.
11. Disclaimers
11.1 "As Is" Basis
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
This includes but is not limited to warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of content
11.2 No Guarantee
We do not guarantee that:
- The App will be uninterrupted or error-free
- Defects will be corrected
- The App is free of viruses or harmful components
- Results from using the App will meet your expectations
11.3 AI Disclaimers
AI-generated content is provided for informational and entertainment purposes only. We disclaim all liability for decisions made based on AI responses.
12. Limitation of Liability
12.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIORAI TECHNOLOGY LIMITED SHALL NOT BE LIABLE FOR
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, or goodwill
- Cost of substitute services
12.2 Maximum Liability
The company's total liability shall not exceed:
- The amount you paid for the App in the 12 months preceding the claim, OR
- One hundred US dollars ($100)
Whichever is greater.
12.3 Exceptions
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Viorai Technology Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the App
- Your violation of these Terms
- Your User Content
- Your violation of any rights of another party
14. Dispute Resolution
14.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at friend@viorai.ai to attempt informal resolution.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of law principles.
14.3 Jurisdiction
Any disputes arising from these Terms or your use of the App shall be resolved in the courts of Hong Kong, and you consent to the personal jurisdiction of such courts.
14.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms in the App
- Updating the "Last Updated" date
- Sending an email notification for significant changes
Your continued use of the App after changes constitutes acceptance of the modified Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viorai Technology Limited regarding the App.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign your rights or obligations under these Terms. We may assign our rights and obligations without restriction.
16.5 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control.
